These Terms and Conditions (“Terms”) govern the provision of digital marketing and performance marketing services (the “Services”) by Foxgle E-commerce Private Limited (“we,” “us,” or “our”) to our clients (“you” or “client”). By engaging our Services, you agree to be bound by these Terms.
- i) Scope of Services We will provide the Services as described in the service agreement, proposal, or statement of work mutually agreed upon by both parties. Any changes to the scope of Services must be agreed upon in writing.
- ii) Client Responsibilities You agree to provide us with all necessary access to information, resources, and personnel required to perform the Services. You are responsible for the accuracy and completeness of all information and materials provided to us.
- iii) Payment Terms Fees for our Services will be set forth in the service agreement. Unless otherwise specified, invoices are due and payable within 30 days of receipt. Late payments may be subject to interest charges.
- v) Confidentiality Both parties agree to keep confidential all non-public information received from the other party. This obligation will survive the termination of our engagement.
- vi) Limitation of Liability Our liability to you for any and all claims arising out of or in connection with these Terms or the Services will be limited to the total amount of fees paid by you to us in the preceding three (3) months. In no event will we be liable for any indirect, incidental, special, or consequential damages.
- vii) Termination Either party may terminate the service agreement for any reason upon 30 days written notice to the other party. In the event of termination, you agree to pay for all Services performed up to the effective date of termination.
- vii) Governing Law and Dispute Resolution These Terms will be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India.
- vii) Amendments We reserve the right to amend these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms.
